General Terms and Conditions for AfterPay Consolidated Invoice

How does the AfterPay Consolidated Invoice work?

With the Consolidated Invoice from AfterPay, you can have several invoices that you have received for your purchases in our online shop in a month summarised in an overview at the end of the respective month and pay after receiving this overview ("AfterPay Consolidated Invoice").

We as the merchant (hereinafter the "Merchant") offer you the use of the AfterPay Consolidated Invoice in our online shop in cooperation with a third-party provider, Arvato Payment Solutions GmbH, G├╝tersloher Str. 123, DE-33415 Verl, Germany ("AfterPay", for further information see https://www.afterpay.de/kontakt). To use the AfterPay Consolidated Invoice effectively, you must be at least 18 years old.

If you want to pay for your purchases with the AfterPay Consolidated Invoice, this means:

The AfterPay Consolidated Invoice is not an invoice for VAT purposes. You will either receive an invoice directly with your order or you can request one from the Merchant if required.

Scope of these General Terms and Conditions Consolidated Invoice

Please note that these General Terms and Conditions for the AfterPay Consolidated Invoice ("GTC CI") apply in addition to and, in the event of deviations, take precedence over the General Terms and Conditions (hereinafter: "GTC")for theuse of the MyAfterPay portal, see [www.myafterpay.com] and the AfterPay app ("App"), see [www.afterpay.app/en-de/], as soon as you decide to pay with AfterPay Consolidated Invoice in the online shop of the Merchant. These GTC CI establish rights and obligations between you and the Merchant (as well as between you and AfterPay as of the Assignment of Claims by the Merchant to AfterPay). These GTC CI become an integral part of the purchase agreement concluded between you and the Merchant.

These GTC CI also apply if your order is placed with the Merchant by telephone.

1. Procedure for AfterPay purchase on account and notice of assignment

1.1 After you have selected the AfterPay Consolidated Invoice as your payment method, the Merchant will check whether this payment method is available for your order. For this purpose, the Merchant will initiate a Credit Check (as described in clause 4.3 below) and an Address Check (as described in clause 4.6 below) via AfterPay.

1.2 If the AfterPay Consolidated Invoice is available for your order, the Merchant will confirm this to you after you have completed your order in the web shop. If you cannot pay with the AfterPay Consolidated Invoice, you can select another payment method at the checkout.

1.3 Notice of assignment: As soon as a purchase contract has been concluded between you and the Merchant for your order and the payment method AfterPay Consolidated Invoice has been confirmed for this, the Merchant will assign the purchase price claim from the purchase contract with you to AfterPay and have it included in the Consolidated Invoice. On the first (1st) of the following calendar month, you will then receive a Consolidated Invoice by e-mail (or by post if no e-mail address is available) for all purchases made in the previous month from the Merchant for which the AfterPay Consolidated Invoice is confirmed as the payment method.

1.4 You must make your payment of the total amount to AfterPay no later than 14 days after the date of the Consolidated Invoice. The exception to this is if you choose to take a payment break (as described in clause 2.2). In addition, AfterPay is entitled to enforce the same rights against you in respect of the payment that the Merchant could enforce against you under the contract concluded between you and the Merchant.

1.5 If you pay someone other than AfterPay after the assignment of the claim and confirmation of the Consolidated Invoice payment method, your payment obligation to AfterPay remains. In this case, you must pay again, this time to AfterPay.

1.6 The claim against you may be assigned by AfterPay to a third party at any time, including a debt collection agency in the event of a payment default.

2. Payment

2.1 Your payment must be made to AfterPay within 14 days of the date shown on the Consolidated Invoice. The bank account and all necessary details are listed in the Consolidated Invoice you receive from AfterPay. The date on which the payment is credited to AfterPay's account is decisive for meeting the deadline.

2.2 If you are unable to pay the Consolidated Invoice within the 14-day period mentioned above, you have the option of selecting the AfterPay payment pause via the AfterPay app or the MyAfterPay portal. The payment pause is a payment deferral from AfterPay. For details of the special conditions for the use of the AfterPay payment break, see.

3. Default of payment

3.1 If you do not pay within the period referred to in clause 2 or effectively agree a payment break with us beforehand, you will automatically (immediately and by law) be in default of payment without the need for a prior reminder. The amount owed by You to AfterPay under the Assignment(s) shall then become immediately due and payable.

3.2 From the time you are in default of payment in accordance with clause 3.1, you may be charged without prior notice (i) the statutory default interest that you owe from the due date until the date of full payment and (ii) a reminderfee of EUR 2.40 per reminder. You are entitled to prove that the Merchant or AfterPay has not suffered any damage as a result of the respective reminder or that the damage suffered is significantly lower than the reminder fee. The Merchant and AfterPay reserve the right to prove that greater damage was caused by the processing of the respective reminder or by the transfer to a collection agency. If the outstanding debt is handed over to a collection agency, additional costs will be incurred and you will be obliged to reimburse the collection costs incurred in accordance with the statutory provisions.

3.3 The payments made by you to AfterPay shall first be credited against the amount of the principal claim originally owed by you and only after this amount has been paid in full against the costs owed as a result of your default in payment.

4. Protection of personal data and use of data

4.1 Your privacy is respected and your personal data is treated confidentially..

4.2 If you have opted for payment with AfterPay Consolidated Invoice as a payment method in the online shop of the Merchant, the Merchant will send your contact details (name, address, date of birth if applicable, e-mail address etc.) as well as information on the items you have ordered (e.g. order value, product group, value of goods, possibly order channel and delivery method) to AfterPay. Based on this information, the Merchant will initiate a Credit Check via AfterPay to decide whether the AfterPay Consolidated Invoice is available as a payment method for your order.

4.3 AfterPay sends your contact details and information on the goods/services ordered by you via informa solutions GmbH, Rheinstrasse 99, 76532 Baden-Baden, Germany, as its processor to infoscore Consumer Data GmbH, Rheinstr. 99, 76532 Baden-Baden, Germany, for a Credit Check (the "Credit Check").

4.4 Infoscore Consumer Data GmbH creates a forecast, in particular about payment probabilities (score), using address data and payment experiences from the past on the basis of mathematical-statistical methods (in particular methods of logistic regression and comparisons with groups of people who had similar payment behaviour in the past) and transmits this score to AfterPay. Based on the information about the goods/services ordered by you, the score provided by Infoscore Consumer Data GmbH, your contact information and any previous data on payment behaviour/historical information already available to AfterPay about you, a balanced decision is made as to whether the AfterPay Consolidated Invoice is available for your order. In addition, informa Solutions GmbH uses the company Fraud.net Inc. 330 7th Avenue, New York, NY 10001, USA, as a further processor for the prevention and detection of fraud. The data is stored in the EU; however, Fraud.net accesses this data from the USA. The standard contractual clauses published by the EU Commission have been concluded with Fraud.net to ensure a level of data protection appropriate to the EU.

4.5 The legal basis for this data processing is Art. 6 para. 1 sentence 1 lit. b) and f) DSGVO. The legitimate interest of the Merchant is to be able to assess and decide whether it can offer you a high-risk payment method such as AfterPay Consolidated Invoice. The legitimate interest of AfterPay is to assess whether you will meet your payment obligations after the respective assignment of receivables in the course of Consolidated Invoice, as AfterPay assumes the risk of default in the respective assignment of receivables.

4.6 In addition, the Merchant shall forward the address data (name and address) provided by you to AfterPay in accordance with Art. 6 para. 1 sentence 1 lit. f) DSGVO for the purpose of address verification in order to avoid incorrect deliveries and bad debts (the "Address Verification").

4.7 AfterPay transmits this information via informa solutions GmbH as its order processor to infoscore Consumer Data GmbH. infoscore Consumer Data GmbH uses this data for address verification and provides the result of the verification.

4.8 The transmission of data required for the Address Check and the Credit Check is carried out via a secure interface. All legitimate interests in relation to you and your personal data will of course be taken into account in accordance with the applicable laws.

4.9 Pursuant to Art. 21 para. 1 of the GDPR, you have the right to object at any time to the processing of your data for the above-mentioned purposes with future effect for reasons relating to your particular situation; this also applies to profiling carried out in the context of the above-mentioned purposes. A notification in text form (e.g. e-mail, letter) to the Merchant is sufficient for this purpose. You can find the current contact details in the imprint of the online shop of the Merchant. If you object to the processing of your data, please note that the Merchant can no longer offer payment methods with credit risk for your orders in the online shop. However, you can still choose other payment methods (e.g. prepayment).

4.10 We use your contact information to send you advertisements by post, email, MMS, SMS or via the AfterPay app about other AfterPay products, such as payment by instalments ("AfterPay Flex"). You will then receive advertising by email, MMS or SMS even without your express consent if we have received your email address or telephone number in connection with the use of our services and the products/services advertised by us are similar to those you have already used with us in the past. You can object to this use of your contact information for advertising purposes at any time by sending an email to datenschutz@afterpay.de. This will not incur any additional costs for you, except for the transmission costs according to the base rates.

Furthermore, at the end of each e-mail, MMS or SMS, you will be given the opportunity to object to the further use of your e-mail address or telephone number by us for the aforementioned purpose (advertising of comparable goods and services) in the future.
